Terms of Service

Pythagoras AI, Inc. ("Pythagoras", "we", "our", or the "Company") welcomes visitors (“you”) to use the Pythagoras healthcare assessment and coordination services through its website https://getpythagoras.ai (the “Site”), through its mobile or desktop applications (the “App”), and through its related services, content, tools, software, APIs, and products (together with the Site and App, collectively, the “Services”). You may use the Services solely in accordance with the following terms and conditions, including the terms of our Privacy Policy which are incorporated by reference herein (together, as amended from time to time, the “Terms”).

PLEASE READ THESE TERMS CAREFULLY. THEY PROVIDE, AMONG OTHER THINGS, THAT WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST PYTHAGORAS IN FINAL BINDING ARBITRATION INSTEAD OF GOING TO COURT AND THAT YOU WILL NOT BRING CLASS ACTION CLAIMS AGAINST PYTHAGORAS (SEE SECTION 16).

1. Acceptance of the Terms

By entering to, connecting to, accessing or using the Services and/or by setting up an account with Pythagoras (an “Account”), you acknowledge that you have read and understood Terms and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Services. You acknowledge that these Terms constitute a binding and enforceable legal contract between Pythagoras and you.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT, CONNECT TO, ACCESS OR OTHERWISE USE THE SERVICES.

2. The Services

PYTHAGORAS IS NOT A HEALTH CARE PROVIDER AND NO HEALTH CARE PROVIDER/PATIENT RELATIONSHIP WITH PYTHAGORAS IS CREATED WHEN YOU USE THE SERVICES. PYTHAGORAS DOES NOT PROVIDE ANY MEDICAL ADVICE, THERAPY, MENTAL HEALTH TREATMENT, DIAGNOSIS, PHARMACY SERVICES OR OTHER TREATMENT AND IS NOT A SUBSTITUTE FOR THE SERVICES PROVIDED BY HEALTH SERVICES PROVIDERS (COLLECTIVELY, “PROVIDERS”). Any Provider you access through the Services is independent of Pythagoras and is using the Services to communicate with you. Pythagoras does not make any representations or warranties about the qualifications, skills or training of any Providers, does not endorse any Providers and does not represent that it has performed any due diligence or other investigations on any Provider. You are solely responsible for choosing your Provider. Pythagoras is intended to support the administrative and operational needs of Providers and enhance their clinical services and clinical decision-making processes. However, Pythagoras is neither responsible nor liable for any information, advice, recommendations or diagnosis you receive through the Services. Always seek the advice of your physician or other health care provider regarding any medical condition you may have. Never disregard professional health care advice or delay seeking it because of information you access through the Services.

As described in greater detail herein, none of Pythagoras, its licensors, suppliers or any third parties who promote the Services shall be liable for any advice or other information you obtain from a Provider via the Services. You agree that your reliance on any Provider or information provided by the Services is solely at your own risk and that Pythagoras shall not be liable or responsible in any way whatsoever for any damage, loss, liability, cost, expense or claim in connection with any advice or information provided by a Provider, including without limitation, the reliability, quality, accuracy or usability of such advice or information, nor in connection with the identity, qualification, credentials or actions and omissions of a Provider.

The Services enable the communication of Medical Information between individuals requiring health services (“Patients”) and Providers. The Services include the use of audio recording, transcription and analysis tools, which facilitate the transmission, displaying, capturing and processing of Patient data, including mental and physiological health data, mood, affect, cognitive functioning, symptoms, medical history, diagnoses, assessments, recommendations, medication and drug use (“Patient Medical Information”). The Services also allow for the communication of Patient Medical Information, including for the purpose of facilitating clinical diagnosis and treatment (“Clinical Information” and, together with Patient Medical Information, “Medical Information”).

You, Patients and Providers are all referred to herein as users of the Services (the “Users”) and the Terms shall apply to each User accordingly.

3. Use of Services

You agree that you will not, and will not permit any third party to, directly or indirectly: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying ideas or algorithms of all or any portion of the Services or the Company’s systems and technology; (ii) copy, modify, adapt, translate, or create or display the Services or derivative works based on the Services; (iii) rent, lease, distribute, sell, resell, assign, or otherwise transfer, in whole or part, your rights to use the Services; (iv) remove any proprietary notices from the Services or any other Pythagoras materials furnished or made available hereunder; (v) display, publish or disclose to third parties any evaluation of the Services; (vi) violate any User’s right to privacy or other rights; (vii) use the Services in automatic, semi-automatic or manual tools designed to create virus signatures, virus detection routines, or any other data or code for detecting malicious code or data; (viii) collect personally identifiable information of Users or visitors to the Site without their prior written consent, including using any robot, spider, site search or retrieval application, or other device or process to retrieve, index, or data mine information contained in the Services or on the Site; (ix) introduce or transmit any virus, worm, Trojan Horse, bug, spyware, or any other computer code onto the Site or Services; (x) build or provide a competitive product or service, or copy any features, functions or graphics of the Services; or (xi) make the Services available to anyone other than yourself.

4. User Accounts

You may access the Services: (i) by creating an account on the App or Site (the “Account”) or (ii) if your health care services provider has been authorized, through an Account created for you by, or on behalf of, your health care services provider. As part of the registration process and the use of the Services, Users will be required to enter certain information. To learn more about the type of information collected by us when you register for and use the Services, please visit our Privacy Policy.

You are responsible for maintaining the confidentiality of your username and password and for all activities that occur through your Account. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security. You agree that Pythagoras will not be liable for any loss or damage arising from any failure of yours to comply with the Terms or from any unauthorized use of your Account or any other breach of security. Unauthorized use of the Services may give rise to a claim for damages and may be a criminal offense. Pythagoras may terminate your Account if we determine that you or anyone using your Account violates these Terms.

5. Patient Representations and Agreements

Patients hereby represent and agree that:

(i) All information provided by the Patient in connection with accessing and using the Services is accurate, current, and complete, including any information you have obtained from third party systems or health care providers, complies with all applicable laws, rules and regulations and that you have all necessary rights to use, share, and upload such content, without infringing any third party rights. You agree to update such information promptly in the event that it becomes inaccurate, and you understand that a failure to provide accurate and complete information may adversely affect the ability of a Provider to provide you with appropriate care;

(ii) You consent to Pythagoras recording all or part of your communications and accessing and using your Medical Information;

(iii) You have the legal capacity and authority to enter into these Terms and to form a binding agreement under any applicable law, to use the Service in accordance with these Terms, and to perform your obligations hereunder on your behalf and, if applicable, on behalf of any Patients with whom you utilize the Services;

(iv) You understand and agree that Pythagoras is not a “Covered Entity” under Health Insurance Portability and Accountability Act (“HIPAA”), you understand that Pythagoras receives Medical Information from you to enable a Provider to provide health care services for you. Your Medical Information may be protected under applicable laws. You agree that Pythagoras may transmit your Medical Information to Providers so that you may receive health care services. You also consent to the transmission of your Medical Information to health care software utilized by your Provider, pharmacies and labs, as part of the coordination of desired fulfillment and payment for diagnostic testing, prescription medications, and other health care services recommended by your Provider. The health care software utilized by your Provider, labs or pharmacies may or may not be a “covered entity” or “business associate” under HIPAA, and Pythagoras may in some cases be a “business associate” of such health care software, lab, pharmacy or Provider. While state-specific privacy laws may apply, HIPAA does not necessarily apply to an entity or person simply because it receives Medical Information, and HIPAA may not apply to your use of the Services. If Pythagoras is deemed to be a “business associate” and solely in its role as a business associate, Pythagoras may be subject to certain provisions of HIPAA with respect to “protected health information” (“PHI”), as defined under HIPAA, that you provide to the labs, pharmacies or Providers. In addition, any medical or health information that you provide that is subject to specific protections under applicable state laws (collectively, with PHI, “Protected Information”), will be used and disclosed only in accordance with such applicable laws. Any information that does not constitute Protected Information under applicable laws, however, may be used or disclosed in any manner permitted under our Privacy Policy. Protected Information does not include information that has been de-identified in accordance with HIPAA. The Providers have adopted a “Notice of Privacy Practices” that describes how they use and disclose Protected Health Information. By using the Services, you are acknowledging receipt of the Notice of Privacy Practices from your Provider.

(v) By using the Services, you agree that if HIPAA applies to Pythagoras, the Providers, the health care software utilized by your Providers, the labs or pharmacies, any information that you submit to that is not intended and used solely for the provision of diagnosis and treatment by the Providers or prescription fulfillment by the pharmacies or laboratory services by the labs, is not considered Protected Information, and will be subject only to our Privacy Policy and any applicable state laws that govern the privacy and security of such information.

(vi) If you are a User acting on behalf of one or more Patients, you are permitted under all applicable laws and agreements to upload, process, transmit and display any information you provide to the Company;

(vii) You understand and acknowledge that health administrative services are conducted via telephone, videoconference or asynchronous technology and have inherent limitations, including the inability of the Provider to perform an in-person assessment or physical examination, and that such services may not be appropriate for all medical conditions. You understand and acknowledge that the Services include features which are intended to apply artificial intelligence and machine learning to your Medical Information to enhance the clinical services and clinical decision-making processes of your Provider. You understand and acknowledge that artificial intelligence and machine learning products have inherent limitations and are not a substitute for obtaining appropriate medical advice or mental health treatment from a Provider before relying on any Clinical Information provided through your use of the Services. You acknowledge that there is no professional relationship (including any doctor-patient or advisor-advisee relationship) between you and Pythagoras, and that you may not rely on any information, content or any features you access on or through the Services;

(viii) You are located in the United States in a jurisdiction in which the provision of the Services is permitted, and the Terms do not and will not violate any other agreement, law, rule, regulation, order or judgment to which you are subject;

(ix) You consent to Pythagoras transmitting your Medical Information electronically; and

(x) You consent to receive communications from Pythagoras electronically and agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

6. Provider Representations and Agreements

Providers hereby represent and agree that:

(i) you are a duly licensed health care practitioner in the United States in good standing, your license has never been revoked, suspended or withdrawn, and you will maintain your license all times while utilizing the Services; you consent to Pythagoras or a third party service contracted by Pythagoras verifying that your professional license is not expired or revoked to practice in your respective state;

(ii) You are physically located in a jurisdiction in which the use of the Services and the provision and receipt of health administrative services is permitted;

(iii) you have the legal capacity and authority to accept these Terms and to form a binding agreement, to use the Services in accordance with these Terms, and to perform your obligations hereunder on your behalf and, if applicable, on behalf of any Patients with whom you utilize the Services;

(iv) you will comply with all laws, professional rules and other rules and regulations applicable to you as a Provider and employ reasonably accepted professional standards in your field of practice (“Laws”), in your use of the Services;

(v) your relationship with your Patients is directly between you and the Patient; you have all necessary authority, consents and approvals required to provide health care services to your Patients through the Services, and to upload and communicate Medical Information and, if applicable, share Medical Information with a third party clinician, including for any Patients who are under the age of eighteen (18);

(vi) you will keep confidential and not disclose to any third party all information you learn from the Services and will not use such information for any purpose other than as required to perform your health care services to the Patients; and

(vii) you will not request, accept or receive any payment or benefit in violation of Laws.

7. Ownership of Intellectual Property

As between you and Pythagoras, Pythagoras owns all rights, including all intellectual property, copyrights, patents, trademarks, and trade secrets and other proprietary rights, in and to the Services, all content, text, information, data and other content displayed or made available through the Services, and all usage and other data generated or collected in connection with the use thereof (the “Company Materials”). Except as expressly set forth herein, you agree not to license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make any unauthorized use of the Company Materials. Users are granted a limited, personal, non-exclusive, non-assignable and revocable license to use the Services subject to these Terms. Pythagoras reserves all intellectual property rights that are not expressly granted to you under these Terms, and you will not assert any implied rights in or to any of Pythagoras’s intellectual property rights. Pythagoras shall own all intellectual property rights in and to any improvements, upgrades, modifications or enhancements to the Services. If you have been involved in the development process by contributing in any manner, including but not limited to, input, ideas or feedback on the same, any right that you may have due to such involvement is hereby irrevocably transferred to Pythagoras.

8. Changes to our Services

Pythagoras reserves the right, in its sole discretion, to amend, remove, add to, enhance, or make other changes to the Services without notice. Pythagoras will notify you of substantial changes of these Terms on the homepage of the Site or the App or notify you via an e-mail. Any such substantial changes will take effect seven (7) days after such notice is provided. Your continued use of the Services following any such changes to the Services, including to these Terms, constitutes your agreement to be bound by the revised Terms, including such changes.

9. Disclaimer and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYTHAGORAS PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING (WITHOUT LIMITATION) ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. PYTHAGORAS DOES NOT REPRESENT OR WARRANT THAT THE SITE AND SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, SECURE OR THAT ANY DEFECTS OR ERRORS IN THE SITE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR DEVICE, COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OR CORRUPTION OF DATA THAT RESULTS OR MAY RESULT FROM THE DOWNLOAD OF ANY SUCH MATERIAL. IF YOU DO NOT ACCEPT THIS LIMITATION OF LIABILITY, YOU ARE NOT AUTHORIZED TO ACCESS THE SERVICES.

From time to time, Pythagoras may make third party opinions, advice, statements, offers, or other third party information or content available through the Services. All third party content is the responsibility of the respective authors thereof and should not necessarily be relied upon. Such third party authors are solely responsible for such content. PYTHAGORAS DOES NOT: (I) GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY THIRD PARTY CONTENT PROVIDED THROUGH THE SITE, OR (II) ADOPT, ENDORSE OR ACCEPT RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, OR STATEMENT MADE BY ANY PARTY THAT APPEARS IN THE SITE. UNDER NO CIRCUMSTANCES WILL PYTHAGORAS OR ITS AFFILIATES BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR RELIANCE ON INFORMATION OR OTHER CONTENT POSTED IN THE SITE OR TRANSMITTED TO OR BY ANY USERS.

10. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL PYTHAGORAS OR THE PROVIDERS, INCLUDING ITS AND THEIR RESPECTIVE AFFILIATES’, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS, THIRD PARTY PARTNERS, LICENSORS, SERVICE PROVIDERS AND AGENTS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTIONS RESULTING FROM OR ARISING OUT OF THE SERVICES, OR THE USE OR INABILITY TO USE OUR SERVICES, LOSS OF GOODWILL OR PROFITS, THE PERFORMANCE OR FAILURE OF PYTHAGORAS TO PERFORM UNDER THESE TERMS, ANY OTHER ACT OR OMISSION OF PYTHAGORAS WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT PYTHAGORAS IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PYTHAGORAS’S CUMULATIVE LIABILITY TO YOU EXCEED AMOUNTS PAID TO PYTHAGORAS FOR YOUR USE OF THE SERVICE, IF ANY. TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF PYTHAGORAS TO YOU WITH RESPECT TO YOUR USE OF THE SERVICES IS $500 (FIVE HUNDRED DOLLARS).

11. Indemnification

You agree to indemnify, defend and hold harmless Pythagoras, the Providers, including its and their respective affiliates’, officers, directors, shareholders, employees, sub-contractors, third party partners, licensors, service providers and agents from any loss, liability, claim, or demand (including, but not limited to, reasonable attorney’s fees) made by any third party due to, arising out of, or related to, your breach of or failure to comply with the Terms (including any breach of your representations and warranties contained herein), your use of the Services, and the violation of any law, rule or regulation by you. Pythagoras reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Pythagoras in connection therewith.

12. Termination

You may terminate your Account at any time and for any reason by providing written notice to Pythagoras. Upon termination, your Account will no longer be accessible.

Pythagoras may suspend or terminate your right to use the Services at any time, in the event that you breach these Terms, for any reason, or for no reason, in our sole discretion, and without prior notice to you. After such termination, Pythagoras will have no further obligation to provide the Services, except to the extent we are obligated to provide you access to your medical records or Providers are required to provide you with continuing care under their applicable law.

Upon termination of your right to use the Services, all licenses and other rights granted to you by these Terms will immediately terminate. You agree and acknowledge that Pythagoras does not assume any responsibility with respect to, or in connection with the termination of our Services operation and loss of any data.

Notwithstanding anything to the contrary herein, all of your covenants, agreements, representations and warranties made in these Terms will survive the termination, suspension or cancellation of your access to the Services and remain in full force and effect.

13. Minors

YOU MUST BE OVER THE AGE OF EIGHTEEN (18) IN ORDER TO USE THE SERVICES; provided, however, that a parent or legal guardian of a minor dependent who is under the age of eighteen (18) years may create an Account and add such minor dependent as a Patient on such Account. By creating such Account, the parent or legal guardian (i) represents to Pythagoras that they have all necessary legal authority to consent to these Terms and permit the use of the Services by the minor dependent and (ii) agrees to these Terms, including all representations included herein, and the use of the Services on behalf of the minor dependent.

14. Use of the App

Use of the App on a mobile device may require usage wireless data services, and you agree that you are solely responsible for any data usage fees and any other fees that your wireless service carrier may charge in connection with your use of the App. If you use the App on an Apple, Inc. (“Apple”) iOS device, the license granted to you pursuant to these Terms is subject to and limited by the usage rules set forth in Apple's App Store.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or the Services that is not subject to arbitration under Section 16 shall be filed only in the state or federal courts in California (or a small claims court of competent jurisdiction) and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

16. Arbitration

16.1. Agreement to Arbitrate. This Section 16 is referred to herein as the “Arbitration Agreement.” The parties agree that any and all controversies, claims, or disputes between you and Pythagoras arising out of, relating to, or resulting from the Services, shall be subject to binding arbitration pursuant to the terms and conditions of this Arbitration Agreement, and not any court action (other than a small claims court action to the extent the claim qualifies). The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

16.2. Class Action Waiver. THE PARTIES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S).

16.3. Procedures. Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's (“AAA”) rules and procedures (the “AAA Rules”), as modified by this Arbitration Agreement. If there is any inconsistency between the AAA Rules and this Arbitration Agreement, the terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. The arbitrator must also follow the provisions of these Terms as a court would, including without limitation, the limitation of liability provisions in Section 10. 16.4. Venue. The arbitration shall be held in a reasonably convenient location for both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, the determination shall be made by AAA. If the value of the relief sought is $10,000 or less, you or Pythagoras may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on each party, but subject to the arbitrator's discretion to require an in-person hearing if the circumstances warrant. Attendance at any in-person hearing may be made by telephone by either or both parties unless the arbitrator requires otherwise.

16.5. Governing Law. The arbitrator will decide the substance of all claims in accordance with the laws of the State of California, without regard to its conflicts of laws rules, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different users of the Services but is bound by rulings in prior arbitrations involving you to the extent required by applicable law.

16.6. Costs of Arbitration. Payment of all filing, administration, and arbitrator fees (collectively, the “Arbitration Fees“) will be governed by the AAA's Rules. Each party will be responsible for all other fees it incurs in connection with the arbitration, including without limitation, all attorney fees.

16.7. Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision or award by the arbitrator, will be strictly confidential for the benefit of all parties.

16.8. Severability. If a court decides that any term or provision of this Arbitration Agreement other than Section 16.2 is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If a court decides that any of the provisions of Section 16.2 are invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of these Terms will continue to apply.

17. Miscellaneous

The failure of any party at any time to require performance of any provision of these Terms shall in no manner affect such party's right at a later time to enforce these Terms. A waiver of any breach of any provision of these Terms shall not be construed as a continuing waiver of other breaches of the same or other provisions of these Terms. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Pythagoras without restriction. The Terms are the entire agreement between us relating to the subject matter herein and shall not be modified except in a writing, signed by both parties, or by a change to these Terms made by Pythagoras as set forth herein.

These links are provided solely as a convenience to you and not as an endorsement by Pythagoras of the content on such External Sites. The content of such External Sites is developed and provided by others.
